Terms of Service

Brooklyn Uprising LLC ("BK UP," "we," "us," or "our") operates the BK UP bouldering gym in Brooklyn, New York, along with the BK UP mobile application and the website and member app at app.bkup.nyc (together, the "Services"). These Terms of Service ("Terms") are a legal agreement between you and BK UP. By creating an account, purchasing a membership or pass, visiting the gym, or otherwise using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

These Terms work alongside our Privacy Policy and the liability waiver you sign to climb, which is a separate agreement described below.

Eligibility and age

You must be at least 16 years old to create a BK UP account. If you are under 18, a parent or legal guardian must sign the liability waiver on your behalf before you can climb, and we collect the guardian's contact information as part of that process.

The gym is open to climbers 16 and older. Our Services are not directed to children under 16, and we do not knowingly allow anyone under 16 to create an account.

Your account

To use most features of the Services, you create a member account. You agree to provide accurate and complete information, including your name, email address, and emergency contact, and to keep it up to date. You are responsible for activity that happens under your account, including purchases and check-ins. We sign you in using email login codes and QR codes, so keep your email account secure and do not share your login codes or member QR code with anyone else.

You can request deletion of your account and personal data at any time. See our Privacy Policy for how account deletion works and what limited records we must retain for legal, financial, and safety reasons.

The liability waiver is a separate agreement

Climbing and bouldering are inherently risky physical activities. Before you climb, you (or your parent or legal guardian, if you are under 18) must read and sign our liability waiver. The waiver is a separate legal document with its own terms, including an assumption of risk and a release of liability. Your electronic signature on the waiver is legally binding.

These Terms do not replace or restate the waiver, and nothing in these Terms limits or changes what the waiver says about the physical risks of climbing. The waiver governs those risks. Waivers are recorded when you sign, are valid for one year, and must be renewed before they expire so you can keep climbing. You can start an account and sign the waiver in our signup flow.

Memberships

We offer recurring memberships that bill automatically through our payment processor, Stripe, until you cancel. Depending on the plan you choose, your membership renews on a weekly, monthly, or annual cycle, and your saved payment method is charged automatically at the start of each cycle. By starting a recurring membership, you authorize these ongoing charges.

Plan-specific limits and benefits

The price, billing interval, visit allowance, included benefits, and other plan rules displayed when you enroll are part of these Terms. Review those details before purchasing.

  • Flex monthly memberships include up to four member visits in each monthly billing period. Unused visits expire at the end of that billing period and do not roll over.
  • Unlimited monthly and weekly memberships include unlimited visits by the member while the membership is active. Guest benefits vary by plan. A monthly plan may include visits for first-time BK UP guests when the member is present; weekly memberships do not include guest visits unless the plan description expressly says otherwise.

Plan perks such as shop discounts, discounted classes or coaching, and third-party promotional benefits are subject to the eligibility requirements and other terms displayed with the plan or offer. Promotional and third-party benefits may change or end. We will not reduce the core visit allowance for a period you have already paid for.

Cancellation

You can cancel a recurring membership at any time from your account in the member app. When you cancel, your membership stays active and you keep access through the end of the period you have already paid for. It does not renew after that. Canceling turns off future automatic billing. We do not provide refunds or proration for the remainder of a paid membership period. If you change your mind before the period ends, you can restart auto-renewal from your account.

Freezes

Some memberships can be temporarily frozen (paused). The rules depend on your plan:

  • Weekly memberships can be frozen once per month. The freeze takes effect at the end of the week you have already paid for.
  • Prepaid memberships can be frozen for a limited amount of time (up to 60 days total across the prepaid term, taken in windows of up to 30 days, and no more than once per month). One-month prepaid plans can be frozen once; longer prepaid plans can be frozen up to twice. While frozen, your remaining prepaid time is preserved and resumes when the freeze ends.

The exact freeze options available to you are shown in the member app.

Prepaid memberships and plan changes

Prepaid memberships (including founding and pre-sale memberships) give you a fixed access window that you pay for up front. When that window ends, unless you cancel first, your membership converts to a standard recurring subscription that bills automatically, and we will let you know before that happens. You can also switch between eligible recurring membership plans from your account; a plan change takes effect at your next renewal.

Price changes

We may change membership prices from time to time. If we change the price of your recurring membership, we will give you at least 30 days' advance notice by email before the new price takes effect, including instructions for how to cancel. The new price will apply only to renewal periods that begin after the notice period. You may cancel before the new price takes effect if you do not want to continue at that price.

Day passes, punch passes, and other passes

We sell several one-time passes in addition to memberships:

  • Day passes are single-use passes good for one visit. A day pass may be valid only on a specific date or may have another expiration date, as shown when you buy it and in your account.
  • Standard punch passes include the number of visits displayed at purchase. Each check-in uses one punch. Standard 5- and 10-punch passes expire three years after purchase.
  • Sharing punch passes is permitted only while the punch-pass holder is present at the front desk. Each person admitted uses one punch. Sharing does not transfer ownership of the pass, and punch passes do not include membership perks or separate guest-pass benefits.
  • Guest passes are single-use day passes used to check in an eligible guest and cannot be used for the member's own visit. Eligibility and member-presence requirements are shown with the applicable membership or offer.
  • Promotional, founding, and complimentary passes may have different visit limits, eligibility rules, validity dates, or expiration dates, which are shown when the pass is issued.

Passes are tied to your account and are non-transferable except for the sharing and guest uses expressly described above. Unused day passes and unused punch passes are non-refundable, including after expiration, except where a refund is required by law. Any optional offer to apply unused punch-pass value toward a membership is governed by the conversion terms presented when that option is offered.

Gift cards

BK UP gift cards are prepaid stored-value cards sold in amounts from $10 to $500. When a gift card is redeemed, its full value is loaded into the recipient's BK UP account as account credit, which can then be spent on memberships, passes, and other purchases. A gift card can only be redeemed once.

BK UP gift cards do not expire, do not decline in value over time, and are not subject to dormancy or service fees. Gift cards and the account credit they create are not redeemable for cash except where required by law. We are not responsible for lost or stolen gift card codes. If applicable law requires us to transfer an inactive balance to a government unclaimed-property program, the owner may claim that balance from the program.

Events, classes, and coaching

We offer events, classes, and coaching sessions that you can book and, where applicable, pay for through the Services. When you register for a paid event or book a paid coaching session, your payment method is charged at the time of booking, or you complete checkout through Stripe.

Event and class cancellations

Each event or class may have its own cancellation deadline, refund policy, and late-cancellation or no-show fee. Those terms are displayed on the event listing or during registration and become part of your booking. If we cancel a paid event rather than reschedule it or provide an agreed replacement, we will refund the amount you paid for that registration.

Coaching cancellations

Each coach sets the cancellation, rescheduling, and refund policy for that coach's sessions. The applicable policy is displayed during booking or communicated before the session is confirmed and becomes part of your booking. If you need to cancel or reschedule, contact the coach or BK UP as soon as possible.

Facility rules and member conduct

When you are at the gym, you agree to follow our posted rules and the reasonable directions of our staff, which exist to keep everyone safe. This includes wearing appropriate clothing and clean indoor climbing shoes, climbing within your ability, respecting other members and staff, and following our policies on things like footwear, pets, and the sauna. You agree not to use the Services or the facility for any unlawful purpose, to harass or endanger others, or to damage our property or equipment.

We want BK UP to be welcoming and safe for everyone. We may refuse service, remove you from the facility, suspend or revoke your membership or access, or cancel your account if you violate these Terms, the facility rules, or the law, or if your conduct endangers or harms other members, our staff, or our community.

Member content

The Services let you post content, such as climb (send) videos, comments and beta on climbs, and a profile photo ("Member Content"). You keep ownership of your Member Content. By posting it, you grant BK UP a non-exclusive, worldwide, royalty-free license to host, store, display, and use that content for the purpose of operating and providing the Services, including showing your public send videos and comments to other members. You can make a send video public or keep it private, and you can opt out of the community leaderboard, in your account settings.

You are responsible for the Member Content you post, and you represent that you have the right to post it and that it does not infringe anyone else's rights or violate the law. You agree not to post content that is unlawful, harassing, hateful, threatening, defamatory, obscene, or that invades someone's privacy. We are not obligated to monitor Member Content, but we may remove or hide any Member Content, and take action on the associated account, if we believe it violates these Terms or is otherwise objectionable. If you see content that concerns you, please contact us.

Mobile application

The BK UP mobile application is a mobile wrapper around our member app at app.bkup.nyc, and these Terms apply to your use of it just as they do to the website. Subject to these Terms, we grant you a limited, personal, non-transferable, non-exclusive, revocable license to use the app for your own use of the Services.

You agree not to copy, modify, distribute, sell, or lease any part of the Services, and not to reverse engineer or attempt to extract the source code of the app, except where that restriction is not permitted by law. Your download and use of the app from the Apple App Store or another app store is also subject to that store's terms, and where those store terms apply to your use of the app, they apply in addition to these Terms.

The app may show you an updated membership pass in your mobile wallet and may deliver limited notifications related to your account. Most of our communications with you are by email. You can manage your communication preferences as described below.

Communications and consent

By creating an account, you agree that we may send you transactional messages that are necessary to provide the Services, such as email login codes, receipts, membership and billing updates, waiver reminders, and event confirmations. These are not marketing messages, and you cannot opt out of them while you have an active account, because they are part of operating your membership.

Separately, you may choose to receive marketing communications from us by email. Marketing is optional and is never a condition of any purchase. You can opt out using the unsubscribe link in any marketing email. For details on how we collect and use your information, see our Privacy Policy.

Intellectual property

The Services, including our name, logo, text, graphics, software, and design, are owned by BK UP or our licensors and are protected by intellectual property laws. Except for your own Member Content and the limited rights we grant you in these Terms, nothing here gives you any right to use our name, logo, or other branding without our prior written permission.

Disclaimers

Except as expressly stated in these Terms and as required by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. This section applies to the software and Services. It does not address the physical risks of climbing, which are governed by the liability waiver you sign.

Limitation of liability

To the fullest extent permitted by New York law, BK UP and its owners, staff, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising out of or relating to your use of the Services. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Services (other than matters governed by the liability waiver) will not exceed the amount you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms limits any liability that cannot be limited under applicable law. The physical risks of climbing are addressed separately in the liability waiver.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless BK UP and its owners, staff, and affiliates from any claims, damages, losses, and reasonable expenses (including attorneys' fees) arising out of your violation of these Terms, your misuse of the Services, your Member Content, or your violation of any law or the rights of another person.

Termination

You may stop using the Services at any time, cancel a recurring membership from your account, and request account deletion. We may suspend or terminate your account or access to the Services if you violate these Terms or the facility rules, or as otherwise described above. If your membership or account ends, the sections of these Terms that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.

Changes to these Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on this page and revise the "Last updated" date above. If the changes are material, we will provide additional notice as appropriate. Your continued use of the Services after the changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Services that is not otherwise resolved will be brought exclusively in the state or federal courts located in Kings County, New York, and you consent to the jurisdiction of those courts. These Terms do not require arbitration.
